1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FPV Labs ("FPV Labs", "we", "us", or "our") governing your access to and use of the Stera platform, including the mobile application, website, software development kits, cloud infrastructure, APIs, processing pipelines, evaluation tooling, and all associated services (collectively, the "Platform" or "Services") provided by Loonshots Network Private Limited, a company incorporated under the laws of India and operating under the brand name FPV Labs.

By downloading or using the Platform, creating an account, uploading data, or otherwise accessing any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.

If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and all references to "you" shall include such organisation.

2. Definitions

  • "Confidential Information" as defined in Section 9.1.
  • "Intellectual Property" as defined in Section 5.2.
  • "User Data" or "Your Data" means all data, content and materials that you or your end-users or your authorised personnel record, capture, generate, upload, transmit or otherwise make available through the Platform, including but not limited to RGB video, depth maps, IMU streams, six-degree-of-freedom (6DoF) pose data, MCAP files, derived annotations and metadata.
  • "Free Tier" means any no-fee, trial, evaluation, community, research, preview, beta, or unpaid access to the Platform.
  • "Paid Plan" means any paid subscription, enterprise plan, usage-based plan, order form, or other commercial arrangement under which fees are payable to FPV Labs.
  • "Outputs" means any processed, annotated, enriched, structured, evaluated, transformed, exported, visualised, or machine-readable data, files, metadata, labels, poses, meshes, validation metrics, or other outputs generated through the Platform from User Data.
  • "Open-Source Components" means any software, model, pipeline, library, tool, script, documentation, or other component made available by FPV Labs or third parties under an open-source licence.

3. Platform Overview and Architecture

  • The Platform is a full-stack multimodal data collection and embodied AI infrastructure solution designed to enable users to capture, upload, process, evaluate, manage, and export multimodal datasets and related outputs for robotics, artificial intelligence, machine learning, simulation, research, and related applications. This infrastructure is designed to enable developers, researchers, robotics laboratories, data vendors and similar users to capture, process, host, visualise and analyse sensor data. FPV Labs does not direct, supervise, design, commission or otherwise control the recording activity, the choice of subjects or environments, the selection of contributors, or the downstream use of User Data.
  • The Platform comprises integrated recording, processing, evaluation, storage, cloud infrastructure, and workflow management functionalities, including mobile applications, APIs, processing pipelines, visualisation tools, annotation systems, synchronization systems, storage infrastructure, and related services.
  • You acknowledge that the Platform comprises both proprietary components and Open-Source Components. The Capture layer, mobile recording application, sensor synchronisation, recording orchestration, secure upload mechanisms, hosted dashboard, cloud workflows, storage infrastructure, enterprise integrations, and related commercial services are proprietary to FPV Labs or its licensors. Certain processing and evaluation tools may be made available as Open-Source Components under separate open-source licences. To the extent of any conflict, the applicable open-source licence shall govern the use of the relevant Open-Source Component only, which is expressly marked as such, and these Terms shall govern all other access to and use of the Platform.

4. Account Registration and Eligibility

  • To access the Platform, you must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater and legally competent to enter into a contract. You agree to provide accurate, current, and complete registration information and to keep that information up to date.
  • You must maintain the security and confidentiality of your account credentials and promptly notify us of any unauthorised access to or use of your account. You are solely responsible for all activity that occurs under your account, whether authorised by you or not.
  • FPV Labs reserves the right to suspend or terminate any account that it reasonably believes has been compromised or is being used in breach of these Terms.
  • FPV Labs may make alpha, beta, preview, experimental, research, or evaluation features available from time to time. Such features are provided "as is", may be modified, suspended, or discontinued at any time, may be subject to additional limitations, and may not be covered by any support, retention, uptime, security, or availability commitments. Your use of such features is at your sole risk.
  • You acknowledge, understand and consent to FPV Labs engaging affiliates, subprocessors, contractors, cloud providers, infrastructure providers, analytics providers, and service providers in connection with operation, hosting, processing, storage, support, security, monitoring, and improvement of the Platform, subject to appropriate confidentiality and security obligations.

5. Intellectual Property Rights

5.1 Licence to Use the Platform

Subject to your compliance with these Terms, FPV Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business, research, evaluation, and data processing purposes in accordance with these Terms. Except for the limited rights expressly granted herein, no rights, title, or interest in or to the Platform are transferred or licensed to you, whether by implication, estoppel, or otherwise.

5.2 FPV Labs' Intellectual Property

As between you and FPV Labs, FPV Labs and its licensors retain all rights, title, and interest, including all intellectual property rights, in and to:

  • the Platform and all related software, applications, APIs, SDKs, workflows, interfaces, tools, infrastructure, algorithms, models, processing systems, documentation, visual interfaces, designs, know-how, trade secrets, and technical materials;
  • all modifications, enhancements, improvements, updates, derivative works, and configurations thereof; and
  • all usage data, analytics, benchmarking information, system performance metrics, and operational insights generated through operation of the Platform, provided that such information does not identify you or disclose your User Data.

5.3 Restrictions

You must not, nor permit any third party to:

  • reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organisation of the Platform;
  • modify, adapt, translate, create derivative works from, or otherwise alter the Platform;
  • sublicence, sell, resell, transfer, assign, or commercially exploit or otherwise make the Platform available to any third party except as expressly authorised by FPV Labs in writing;
  • interfere with, disrupt, disable, circumvent, or compromise the integrity, security, operation, or performance of the Platform;
  • bypass, remove, disable, or circumvent any technical restrictions, authentication mechanisms, access controls, or security protections implemented by FPV Labs;
  • use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
  • use automated tools, scraping technologies, bots, crawlers, or similar mechanisms to access, extract, index, monitor, or copy any portion of the Platform except as expressly authorised by FPV Labs;
  • use the Platform's proprietary capture stack, processing infrastructure, hosted services, or SDK source code to develop a directly competing data-capture or hosted data infrastructure platform, except with FPV Labs' prior written consent. This restriction does not apply to Outputs (which you own), and/or to research models trained on Stera-10M or your own User Data, or to publication of research results derived from the Platform;
  • remove, obscure, or alter any proprietary notices, attribution, watermark, security feature, or licence notice contained in or associated with the Platform;
  • access or use the Platform in a manner intended to avoid fees, usage limits, storage limits, retention limits, rate limits, or technical restrictions;
  • use the Platform for unlawful surveillance, biometric identification, covert tracking, weapons development, unlawful defence/intelligence activity, child exploitation, non-consensual sexual imagery, or any use that violates applicable AI, privacy, biometric, sanctions, or data-protection laws; or
  • use the Platform in violation of applicable law, regulation, third-party rights, or these Terms.

5.4 Ownership of User Data and Outputs

Subject to FPV Labs' ownership of the Platform, Open-Source Components, models, tools, workflows, methods, know-how, and underlying technology, and subject to your compliance with these Terms and payment of all applicable fees, you own your User Data and the Outputs generated from your User Data. FPV Labs does not claim ownership of your raw recordings or customer-specific Outputs.

5.5 Licence to FPV Labs

By uploading User Data to the Platform, you grant FPV Labs a worldwide, non-exclusive, royalty-free, transferable and sublicensable (to its affiliates, contractors, cloud providers, subprocessors, and service providers solely as necessary to provide the Platform) licence to host, store, process, transmit, display, copy, cache, index, reformat, analyse and otherwise process User Data solely to the extent necessary to:

  • provide, operate, maintain, secure, support, and improve the Platform and related services;
  • perform processing, storage, annotation, synchronization, evaluation, export, and workflow operations requested by you;
  • prevent, investigate, monitor, or address technical issues, security incidents, fraud, abuse, or unlawful activity;
  • generate aggregated, statistical, de-identified, or anonymised analytics relating to Platform performance and usage that do not reasonably identify you or any individual; and
  • comply with applicable law, regulation, governmental request, legal process, or enforcement obligations.

FPV Labs may use aggregated, anonymised, or de-identified insights, metrics, and learnings derived from operation of the Platform for analytics, benchmarking, service improvement, infrastructure optimisation, research, security, and product development purposes, provided that such information does not identify you, disclose confidential User Data, or permit re-identification of any individual.

5.6 Training Rights

  • Free Tier Data Use: If you use the Free Tier or any unpaid access to the Platform, FPV Labs may use (i) operational telemetry, usage data, logs, and related metadata, and (ii) aggregated, anonymised, or de-identified signals derived from User Data, to operate, maintain, secure, debug, support, evaluate, benchmark, and improve the Platform. FPV Labs will not use raw User Data or identifiable Outputs from Free Tier accounts to train or develop FPV Labs' commercial models or commercial datasets unless: (i) you expressly opt in through an in-product consent mechanism; or (ii) you elect to contribute the relevant captures to a public Stera dataset release; or (iii) the data has been irreversibly aggregated, anonymised, or de-identified. Feedback, bug reports, feature requests, and evaluation results that you voluntarily submit may be used by FPV Labs without restriction in accordance with Section 5.8.
  • Paid Plan Data Use: If you use a Paid Plan, FPV Labs will not use identifiable private User Data or customer-specific Outputs to train or improve models, develop commercial datasets, or benchmark third-party/customer datasets, except where: (i) you expressly agree in writing; or (ii) the data has been aggregated, anonymised, or de-identified so that it does not identify you, your end-users, or any individual; or (iii) use is necessary for security, abuse monitoring, debugging, support, legal compliance, or service delivery; or (iv) the relevant data is submitted as feedback, public data, open-source contribution, or community dataset.
  • Deletion and Training: Following confirmed deletion of User Data from FPV Labs' active systems, FPV Labs will not use such deleted identifiable User Data for future model training or commercial dataset generation, except to the extent retained in backups, logs, archives, or disaster recovery systems in the ordinary course, subject to confidentiality and security obligations.

FPV Labs may use aggregated, anonymised, de-identified, statistical, operational, diagnostic, telemetry, and related information derived from operation and use of the Platform for analytics, benchmarking, security, reliability engineering, abuse prevention, infrastructure optimisation, research, product development, and service improvement purposes, provided such information does not reasonably identify you, your organisation, or any individual.

5.7 Feedback

If you provide suggestions, comments, bug reports, feature requests, evaluations, annotations, benchmark results, or other feedback relating to the Platform, you grant FPV Labs a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, commercialise, and otherwise exploit such feedback without restriction or compensation, provided FPV Labs will not disclose your Confidential Information except as permitted under these Terms.

5.8 Extended Use Notice

Where we intend to use User Data for any purpose materially beyond business needs, operation, maintenance, security, support, or improvement of the Platform, we shall provide notice and obtain any consent, if required under applicable law.

6. User's Representation

You represent, warrant and covenant, on a continuing basis, that:

  • you have, and will continue to have throughout your use of the Platform, all necessary rights, permissions, licences, and consents required to record, capture, upload, store, process, and otherwise use User Data through the Platform;
  • you have obtained, in the form required by applicable law, all consents (including, where required, written, informed, opt-in, parental or guardian consents) from every identifiable natural person appearing in or whose attributes are captured by Your Data, and from every owner or lawful controller of any premises, equipment, artwork or other property appearing in Your Data;
  • where Your Data is captured by contributors, employees, freelancers, students or other third parties acting on your behalf, you have entered into binding agreements with each such person that (i) confirm your right to use the captured data for your stated purposes, (ii) flow down to those persons all obligations placed on you under these Terms, and (iii) obligate those persons to obtain the consents described above;
  • your User Data does not infringe any third-party intellectual property, privacy, or other rights;
  • Your Data does not contain unlawful, defamatory, obscene, sexually explicit, harassing, threatening, hateful or otherwise tortious material; does not depict child sexual abuse material; and was not collected through covert surveillance, stalking, harassment, deception or any means that would constitute an offence under Indian or other applicable law;
  • Your Data does not contain classified, defence-related, nuclear, critical-infrastructure or national-security information the recording or transmission of which is restricted under the laws of any applicable jurisdiction;
  • you are solely responsible for determining the lawfulness of any recording in any premises (public, semi-public or private), and for complying with any signage, notice, posting or registration obligations in the jurisdictions of capture; and
  • your User Data complies with all applicable laws, including data protection and privacy legislation.

7. Subscription Plans, Storage and Data Retention

  • FPV Labs offers various service plans in relation to the Platform. The features, storage allocations, retention periods, usage thresholds, processing capabilities, and other entitlements applicable to each plan shall be as published on the Platform, website, applicable pricing documentation, order form, and may be modified by FPV Labs from time to time, at their sole discretion.
  • The Free Tier is made available subject to applicable fair-use limits, technical restrictions, and operational thresholds, including limits relating to bandwidth, compute usage, API calls, storage activity, concurrent operations, processing workloads, and related infrastructure usage, as determined by FPV Labs and published in its documentation from time to time. These may change without notice and at FPV Labs' sole discretion.
  • Paid Plans provide access to additional storage capacity, extended retention periods, enhanced processing capabilities, functionality, premium support, and other paid features made available by FPV Labs from time to time.
  • The applicable data retention period, storage allocation, usage limits, and feature entitlements shall depend on the specific subscription plan, or usage model selected by the User, as described on the Platform, applicable pricing documentation, or relevant order form.
  • FPV Labs may monitor usage to calculate fees, enforce limits, prevent abuse, maintain security, and ensure platform stability. If usage exceeds applicable limits, FPV Labs may charge overage fees, restrict usage, require upgrade to a higher plan, suspend excess workloads, or delete excess data after notice where commercially reasonable. Except where required by applicable law, all fees are non-refundable.
  • FPV Labs may monitor, review, log, scan, and analyse usage of the Platform for security, fraud prevention, abuse detection, operational monitoring, infrastructure protection, legal compliance, and enforcement of these Terms.
  • FPV Labs reserves the right to suspend, restrict, downgrade, or terminate access to Paid Plans where any invoice remains unpaid for more than fifteen (15) days following the applicable due date.
  • The Free Tier is provided strictly on an "as is" and "as available" basis, without any service-level commitment, uptime guarantee, support obligation, backup obligation, or minimum availability undertaking.
  • Upon expiry of the applicable retention period, termination of the applicable subscription, downgrade of the account, or upon receipt of a valid written deletion request from the User, FPV Labs may delete the relevant User Data from its systems and infrastructure within a commercially reasonable period, unless retention is required by applicable law, regulatory obligation, dispute preservation requirements, security logging requirements, or legitimate internal compliance purposes.
  • Where FPV Labs permits an enterprise customer to use its own AWS S3, Google Cloud Storage, Azure Blob Storage, or other cloud storage bucket, the customer remains solely responsible for provisioning, configuring, securing, monitoring, paying for, backing up, and maintaining such storage environment, including access controls, credentials, permissions, encryption settings, retention settings, and cloud-provider charges. FPV Labs shall not be responsible for loss, deletion, corruption, unauthorised access, misconfiguration, downtime, or unavailability arising from the customer's cloud environment, credentials, policies, or third-party cloud provider. The customer grants FPV Labs and its authorised subprocessors the access rights necessary to process, write, read, retrieve, manage, and export User Data through such bucket for the purposes of providing the Platform.

8. Acceptable Use

You will not, and will not permit any contributor, end-user or third party to:

  • use the Platform for unlawful surveillance, biometric identification, covert tracking, weapons development, unlawful defence/intelligence activity, child exploitation, non-consensual sexual imagery, or any use that violates applicable AI, privacy, biometric, sanctions, or data-protection laws;
  • use the Platform to record any natural person without consent legally sufficient in the relevant jurisdiction, or to record any minor without verified parental or guardian consent;
  • use the Platform for covert surveillance, stalking, harassment, intimate-image capture or any unlawful monitoring of any person;
  • capture or upload data from inside premises where recording is prohibited by law, by the property owner or by posted notice;
  • upload data containing malware, viruses, exploits, or any code intended to compromise the Platform or any other system;
  • circumvent storage quotas, rate limits, authentication, encryption or any other technical measure of the Platform;
  • access the Platform to benchmark for, or to develop, a competing product;
  • use the Platform in violation of any export-control, sanctions or trade law; or
  • use the Platform in any manner that violates any law, regulation or third-party right.

We reserve the right (but undertake no obligation) to investigate suspected violations and to suspend, throttle, quarantine or remove any account, content or data, with or without notice, where we reasonably believe a violation has occurred or where suspension is necessary to protect the Platform, our users or third parties.

9. Confidentiality

9.1 Definition

For the purposes of these Terms, "Confidential Information" means all non-public information disclosed, made available, transmitted, uploaded, accessed, or otherwise obtained by one party ("Receiving Party") from or on behalf of the other party ("Disclosing Party") in connection with the Platform or the Services, whether in written, oral, electronic, visual, machine-readable, or any other form, including:

  • User Data;
  • technical information, software, source code, object code, APIs, SDKs, algorithms, models, workflows, processing methodologies, system architecture, documentation, specifications, and security information;
  • business information, pricing, product roadmaps, research, financial information, User information, and commercial arrangements; and
  • any other information that a reasonable person would understand to be confidential by its nature or the circumstances of disclosure.

9.2 Obligations

The Receiving Party shall:

  • keep the Confidential Information strictly confidential and use at least reasonable care, and no less than the standard of care it uses to protect its own confidential information of a similar nature, to prevent unauthorised access, disclosure, or use;
  • use Confidential Information solely for the purpose of exercising its rights or performing its obligations under these Terms;
  • not disclose Confidential Information to any third party except: (i) to its employees, contractors, affiliates, professional advisers, subprocessors, auditors, or service providers who have a strict need to know such information for purposes related to the Platform and who are bound by confidentiality obligations no less protective than those set out herein; or (ii) where disclosure is required by applicable law, regulation, court order, or governmental authority, provided that, where legally permitted, the Receiving Party gives prompt written notice to the Disclosing Party prior to such disclosure and reasonably cooperates to limit the scope of disclosure.

9.3 Exceptions

The obligations set out in this clause shall not apply to information that the Receiving Party can demonstrate:

  • was lawfully known to the Receiving Party without restriction prior to disclosure by the Disclosing Party;
  • becomes publicly available through no breach of these Terms or wrongful act of the Receiving Party;
  • is lawfully obtained from a third party without breach of any confidentiality obligation; or
  • is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

Nothing in these Terms grants you any ownership rights in or to the FPV Labs' Confidential Information except for the limited rights expressly granted under these Terms.

Upon termination of these Terms or upon written request by the Disclosing Party, the Receiving Party shall, subject to applicable law, regulatory obligations, backup retention policies, and legitimate internal compliance requirements, cease use of and either return or securely delete the relevant Confidential Information within a commercially reasonable period.

The Receiving Party acknowledges that unauthorised disclosure or use of Confidential Information may cause irreparable harm for which monetary damages alone may be insufficient, and accordingly, the Disclosing Party shall be entitled to seek injunctive relief, equitable remedies, or specific performance in addition to any other remedies available under applicable law.

10. Indemnity and Limitation of Liability

10.1 Indemnification by You

You will defend, indemnify and hold harmless FPV Labs, its affiliates and their respective directors, officers, employees, agents, licensors, sub-processors and successors (each, an "Indemnified Party") from and against any and all claims, suits, investigations, regulatory proceedings, demands, liabilities, damages, fines, penalties, settlements, costs and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your Data, including the recording, capture, transmission, storage, processing, disclosure or downstream use of Your Data;
  • any allegation that Your Data was collected, used or transferred without legally sufficient consent or other lawful basis, or in violation of any privacy, data protection, biometric, surveillance, recording-consent, publicity, defamation or intellectual property law;
  • unauthorized or improper use or disclosure of any Confidential Information or Intellectual Property;
  • your negligence and wilful misconduct;
  • any breach by you (or anyone acting on your behalf, including your contributors and end-users) of any representation, warranty, covenant or obligation in these Terms;
  • your use of the Platform in combination with any product, service or system not provided by FPV Labs;
  • any tax, duty or governmental levy imposed in connection with your collection or use of Your Data;
  • any failure to obtain legally valid consents, notices, releases, permissions, or lawful bases from individuals, contributors, employees, contractors, premises owners, data subjects, or end-users appearing in or affected by Your Data;
  • any claim that Your Data involves unlawful biometric processing, surveillance, tracking, profiling, workplace monitoring, recording, or cross-border transfer;
  • any misconfiguration, unauthorised access, loss, deletion, corruption, or breach arising from your systems, credentials, devices, integrations, APIs, or BYO Bucket environment; and
  • any dispute between you and a contributor, employee, end-user, User or other third party.

FPV Labs will give you prompt written notice of any claim subject to indemnification, allow you to control the defence and settlement of such claim (provided that any settlement that imposes any obligation, payment or admission on an Indemnified Party requires that party's prior written consent, not to be unreasonably withheld), and provide reasonable cooperation at your expense. The Indemnified Party may participate in the defence at its own cost with counsel of its choice.

10.2 Limitation of Liability

To the maximum extent permitted by law, in no event shall FPV Labs, its affiliates, directors, officers, employees, agents, licensors or sub-processors be liable for any (a) indirect, incidental, special, consequential, exemplary or punitive damages, (b) loss of profits, revenue, goodwill, business, anticipated savings or opportunity, (c) loss, corruption, deletion or unavailability of data, (d) cost of substitute services, or (e) damages arising from third-party claims, in each case, whether arising in contract, tort (including negligence), strict liability, statute or otherwise, and whether or not FPV Labs has been advised of the possibility of such damages.

FPV Labs' aggregate liability arising out of or relating to these Terms and the Service, regardless of the form of action, shall not exceed the greater of (i) the total fees actually paid by you to FPV Labs under the applicable Paid Plan in the twelve (12) months immediately preceding the event giving rise to the liability, or (ii) Indian Rupees one thousand (INR 1,000).

The parties agree that the limitations in this Section reflect a reasonable allocation of risk and form an essential basis of the bargain. The limitations apply notwithstanding the failure of essential purpose of any limited remedy.

11. Governing Law and Dispute Resolution

  • These Terms, and any dispute, controversy, claim, or cause of action arising out of or relating to these Terms, the Platform, or the Services, shall be governed by and construed in accordance with the laws of India, without regard to any conflict-of-laws principles that would result in the application of the laws of another jurisdiction.
  • The parties shall first attempt to resolve any dispute through good-faith discussions and negotiations between authorised senior representatives of the parties for a period of thirty (30) days from the date on which written notice of the dispute is first provided by one party to the other.
  • If the dispute is not resolved within the period specified above, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
  • The arbitration shall be conducted by a sole arbitrator appointed by the Parties. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The language of the arbitration proceedings shall be English. The arbitral award shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction.
  • Subject to the foregoing, the courts located at Bengaluru, Karnataka, India shall have exclusive jurisdiction in relation to any application for interim relief, enforcement proceedings, or matters ancillary to the arbitration, and each party irrevocably submits to the jurisdiction of such courts.

12. Privacy

  • FPV Labs' collection, use, and storage of personal data in connection with the Platform is governed by its Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.
  • Where required by applicable law, the parties may enter into a separate data processing agreement, business associate agreement, standard contractual clauses, or other data protection addendum. In the event of conflict, such executed data protection addendum shall prevail solely with respect to the processing of personal data covered by it.

13. Security

FPV Labs will implement commercially reasonable administrative, technical, and organisational safeguards designed to protect User Data against unauthorised access, loss, misuse, alteration, or disclosure. You acknowledge that no internet-based or cloud-based service is completely secure, and FPV Labs does not guarantee that User Data will be immune from all security incidents. You are responsible for securing your devices, credentials, access permissions, integrations, API keys, and BYO Bucket environments.

14. Cookies and Similar Technologies

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FPV LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FPV LABS DOES NOT WARRANT THAT ANY ANNOTATION, POSE ESTIMATION, HAND TRACKING, BODY POSE ESTIMATION, SCENE MESH, VALIDATION METRIC, QUALITY SCORE, EXPORT, OR OTHER OUTPUT WILL BE COMPLETE, ACCURATE, SUITABLE, NON-INFRINGING, COMPLIANT WITH ANY DOWNSTREAM STANDARD, OR FIT FOR TRAINING ANY PARTICULAR AI, ML, ROBOTICS, SIMULATION, OR COMMERCIAL SYSTEM. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING ALL OUTPUTS BEFORE USE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

16. Compliance, Export and Sanctions

You may not access, use, export, re-export, transfer, or otherwise make available the Platform, including any software, APIs, technical information, or related services, in violation of any applicable export control, trade compliance, or economic sanctions laws and regulations. You represent and warrant that you are not located in, organised under the laws of, or ordinarily resident in any restricted or sanctioned jurisdiction, and are not identified on any applicable sanctions or restricted-party list. FPV Labs reserves the right to suspend or terminate access to the Platform where necessary to comply with applicable export control or sanctions laws.

17. Term and Termination

  • These Terms are effective from the date you first access the Platform and continue until terminated. You may terminate your account at any time by contacting FPV Labs. FPV Labs may suspend or terminate your access to the Platform immediately, without notice or liability, if you breach any provision of these Terms or if FPV Labs reasonably believes that your use of the Platform creates security, legal, regulatory, operational, reputational, IP, privacy, payment, sanctions, export-control, or third-party rights risk or for any other legitimate interest or reason, at FPV Labs' sole discretion.
  • Upon termination: (a) all licences granted to you under these Terms will immediately cease; (b) FPV Labs will delete your User Data in accordance with the applicable retention period and its deletion obligations; and (c) any outstanding payment obligations shall survive.
  • Sections relating to Intellectual Property Rights, Confidentiality, Disclaimer of Warranties, Indemnity and Limitation of Liability, Governing Law and Dispute Resolution and General Provisions shall survive the termination or expiry of these Terms.

18. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, applicable order forms, and any documents expressly incorporated by reference herein, constitute the entire agreement between the parties in relation to the Platform and supersede all prior or contemporaneous discussions, negotiations, representations, understandings, communications, and agreements, whether written or oral, relating to the subject matter hereof.
  • Amendments. FPV Labs reserves the right to modify, update, or amend these Terms from time to time. Where a modification materially adversely affects the rights or obligations of users, FPV Labs will use commercially reasonable efforts to provide prior notice through the Platform, by email, or through other reasonable means at least fourteen (14) days before such changes become effective. Your continued access to or use of the Platform following the effective date of the revised Terms shall constitute your acceptance of the amended Terms.
  • Severability. If any provision of these Terms is held by a court, tribunal, or arbitral authority of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be construed and enforced to the maximum extent permissible under applicable law so as to reflect the original intent of the parties as closely as possible, and the remaining provisions of these Terms shall remain in full force and effect.
  • Waiver. No failure, delay, or omission by FPV Labs in exercising any right, remedy, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, remedy, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
  • Assignment. You may not assign, transfer, delegate, sublicense, or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of FPV Labs. FPV Labs may assign, transfer, subcontract, delegate, or otherwise dispose of any of its rights or obligations under these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or operation of the Platform.
  • No Agency. Nothing in these Terms creates a partnership, joint venture, agency, employment or franchise relationship.
  • Force Majeure. FPV Labs shall not be liable for any failure, interruption, degradation, delay, or inability to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemic or pandemic events, war, terrorism, civil unrest, labour disputes, governmental actions, utility failures, internet or telecommunications failures, cyberattacks, cloud infrastructure outages, denial-of-service attacks, failures of third-party service providers, or interruptions affecting hosting, networking, or infrastructure systems.
  • Notices. Any notices, requests, consents, approvals, or other communications required or permitted under these Terms shall be provided in writing. Notices to FPV Labs must be sent to: [email protected] or to any other contact address designated by FPV Labs from time to time.
